摘要
随着数字技术与通信技术的深度融合，以互联网为代表的数字经济飞速发展的同时，也给反垄断法的规制带来了严峻的挑战。近年来互联网领域的经营者集中越发频繁，集中对相关市场的竞争格局和秩序均产生较大影响。但却呈现一种经营者没有主动申报，执法机构也未采取主动审查进而实现规制的局面。事前申报是我国反垄断法规制经营者集中的起点和关键，申报标准与执法机构的主动审查权共同形成了经营者集中规制程序的触发机制。而互联网平台的双边市场特性和免费模式，正在突破营业额标准的计算方式和合理性，执法机构的主动审查权也因缺乏规范指引和程序约束未能发挥补充作用，现行申报标准在互联网领域陷入适用困境，滴滴与优步中国合并案即是最好例证。互联网经济因供给侧规模效应、网络效应和锁定效应等特性而存在天然的垄断性，为了因应反垄断法的多元价值目标和集中规制的实施理念，加强对该领域集中行为的预防性监管十分必要。

abstract
With the deep integration of digital technology and communication technology, the rapid development of digital economy represented by the Internet has also brought severe challenges to the regulation of anti-monopoly law. In recent years, the concentration of operators in the Internet field has become more and more frequent, which has a great impact on the competition pattern and order of relevant markets. However, there is a situation that operators do not take the initiative to declare, and law enforcement agencies do not take the initiative to review, so as to realize regulation. Prior declaration is the starting point and key of the regulation of business concentration in China's anti-monopoly law. The declaration standard and the active review power of law enforcement agencies jointly form the trigger mechanism of the regulation procedure of business concentration. The bilateral market characteristics and free mode of the Internet platform are breaking through the calculation method and rationality of the turnover standard. The active review power of law enforcement agencies has failed to play a supplementary role due to the lack of normative guidance and procedural constraints. The current application standard is in a dilemma in the field of Internet. The merger of didi and Uber China is the best example. Internet economy has natural monopoly due to the characteristics of supply side scale effect, network effect and lock-in effect. In order to respond to the multiple value objectives of anti-monopoly law and the implementation concept of centralized regulation, it is very necessary to strengthen the preventive supervision of centralized behavior in this field.
